Terms of Service

These Terms of Service ("Terms") govern your access to and use of the GroupFire platform, website, mobile applications, and related services (collectively, the "Service") provided by GroupFire Inc. ("GroupFire," "we," "us," or "our"). Please read these Terms carefully before using the Service.

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

GroupFire provides a cloud-based community management platform that enables organizations to engage with their members through messaging, events, groups, content sharing, member directories, and related tools. The Service includes web-based dashboards, mobile applications, APIs, and administrative tools.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify you of material changes that affect your use of the Service.

3. User Accounts & Responsibilities

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your login credentials confidential and secure
  • Immediately notify us of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

4. Subscription & Payment Terms

Access to the Service requires a paid subscription unless you are on a free trial or free tier. By subscribing, you agree to the following:

  • Billing Cycle: Subscriptions are billed on a monthly or annual basis, depending on your chosen plan. Billing begins on the date you subscribe.
  • Automatic Renewal: Subscriptions renew automatically at the end of each billing cycle unless you cancel before the renewal date.
  • Price Changes: We may change subscription prices with at least 30 days' notice. Price changes take effect at the start of your next billing cycle.
  • Refunds: Subscription fees are generally non-refundable. If you cancel mid-cycle, you will retain access until the end of the current billing period.
  • Taxes: You are responsible for all applicable taxes associated with your subscription.

5. Intellectual Property

The Service, including all content, features, and functionality (including but not limited to software, text, graphics, logos, and design), is owned by GroupFire and is protected by copyright, trademark, and other intellectual property laws.

You retain ownership of all content you submit to the Service ("User Content"). By submitting User Content, you grant GroupFire a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing the Service.

6. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Send spam, unsolicited messages, or deceptive communications
  • Upload or distribute malware, viruses, or harmful code
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Collect or harvest data from the Service without authorization
  • Impersonate another person or entity
  • Post content that is defamatory, obscene, threatening, or discriminatory
  • Use the Service for any illegal or fraudulent purpose

We reserve the right to investigate and take appropriate action against any violation of this policy, including removing content, suspending accounts, and reporting to law enforcement.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GROUPFIRE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL GROUPFIRE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID TO GROUPFIRE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Termination

You may terminate your account at any time by contacting us or through your account settings. Upon termination:

  • Your right to access the Service will cease immediately (or at the end of your billing period, if applicable)
  • We may retain your data for a reasonable period to comply with legal obligations
  • Provisions that by their nature should survive termination will remain in effect

We may suspend or terminate your account immediately, without prior notice, if you violate these Terms or if required by law.

9. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to binding arbitration administered by JAMS under its Streamlined Arbitration Rules, with the arbitration taking place in Orange County, California.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Orange County, California.

11. Changes to Terms

We may revise these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also notify you via email or through the Service.

Your continued use of the Service after the revised Terms become effective constitutes your acceptance of the updated Terms.
